1. Overview

These Terms of Service ("Terms") govern your use of jakethebirdy.com (the "Site") and any purchases made through it. By accessing the Site or making a purchase, you agree to be bound by these Terms. The Site is operated by JakeTheBirdy ("Producer", "we", "us").

2. Products & Licensing

We sell non-exclusive licenses for original instrumental music tracks ("Beats"). Each purchase grants you a non-exclusive license to use the Beat in accordance with the License Agreement provided with your purchase. Available license tiers include MP3, WAV, and Stems, each delivered with the corresponding audio files and a PDF License Agreement.

The Producer retains full ownership of all Beats. A license does not constitute a transfer of ownership. The Producer may continue to license the same Beat to other parties.

3. License Terms

Key terms of the License Agreement include:

• Non-exclusive license to record vocals over the Beat and distribute the resulting composition ("New Song") for commercial or non-commercial purposes.
• Unlimited distribution copies, audio streams, and video streams.
• Unlimited radio broadcasting and live performances.
• Publishing split: 50/50 writer’s share and 50/50 publisher’s share between Licensee and Producer.
• Credit: You must credit "Produced by JakeTheBirdy" in all metadata and credits associated with the New Song.
• Territory & Term: Worldwide, for the duration of the copyright of the New Song.
• The Beat is guaranteed to be 100% original with no third-party samples requiring clearance.

The full License Agreement is delivered as a PDF with each purchase and constitutes the complete licensing terms for each Beat.

4. Restrictions

You may not:

• Resell, sublicense, or transfer your license to another party.
• Distribute the Beat as a standalone file (it must be part of a New Song with vocals or other substantial creative additions).
• Register the Beat itself (without a New Song) with any content identification system or distributor.
• Claim ownership of the Beat or its underlying composition.

5. Pricing & Payment

All prices are listed in USD. We may offer promotional deals and coupon codes from time to time. The final price is calculated server-side at checkout and may include automatic volume discounts. Payment is currently accepted via PayPal.

6. Refund Policy

All purchases are final and non-refundable. Because we deliver digital files immediately upon payment confirmation, we cannot offer refunds once an order has been fulfilled. Please review your cart carefully before completing your purchase.

7. Delivery

Upon successful payment, you will receive an email with your License Agreement(s) attached and a link to download your files. Download links do not expire and there are no limits on the number of times you may download your purchased files.

8. License Violations

If you violate the terms of your License Agreement (for example, by failing to credit the Producer, redistributing the Beat as a standalone file, or reselling the license), we reserve the right to revoke your license and pursue legal action to enforce our rights.

9. Intellectual Property

All content on the Site, including but not limited to Beats, audio previews, artwork, logos, and text, is the intellectual property of JakeTheBirdy unless otherwise stated. You may not reproduce, distribute, or create derivative works from any Site content except as expressly permitted through a purchased license.

10. Limitation of Liability

To the maximum extent permitted by law, JakeTheBirdy shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Site or any purchased content. Our total liability shall not exceed the amount you paid for the specific product giving rise to the claim.

11. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Site after changes constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by the laws of Ukraine. Any disputes arising under these Terms shall be resolved through arbitration in accordance with Ukrainian law.
